Please read these Terms of Service ("Terms") carefully before accessing or using the Perfect Panel service.
a) Welcome to Perfect Panel. Our goal is to provide a reliable and efficient service for managing your systems. By accessing or using the Perfect Panel website, application, software, or any related services (collectively, the "Service"), you agree to be bound by these Terms. b) These Terms constitute a legally binding agreement ("Agreement") between you ("User," "you," or "your") and [Insert Your Company Name Here] ("Perfect Panel," "our," "we," or "us"), the owner and operator of the Service. c) If you do not agree to all the terms and conditions of this Agreement, you may not access or use the Service.
a) Perfect Panel provides you with a web-based interface, application, or software designed to facilitate the management, monitoring, and configuration of your own servers, websites, applications, or other digital assets ("Managed Systems"). b) You understand that Perfect Panel is a management tool. We provide the interface and underlying infrastructure to connect to and control your Managed Systems, but we do not provide the Managed Systems themselves, nor are we responsible for the underlying hosting, network connectivity, content, or operation of your Managed Systems. c) The specific features and functionalities available within the Service depend on your subscription level and the version of the Service you are using.
a) To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. b) You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. c) Perfect Panel cannot and will not be liable for any loss or damage arising from your failure to comply with this section.
a) BY USING THE PERFECT PANEL SERVICE, YOU AGREE TO ABIDE BY THIS USAGE POLICY AND NOT TO USE THE SERVICE TO: i. Engage in any illegal activity or promote illegal activities. ii. Manage systems that host, transmit, or facilitate illegal content, including but not limited to: * Child sexual abuse material. * Content that infringes on the intellectual property rights (copyright, trademark, etc.) of others. * Malware, viruses, or other malicious code. * Phishing schemes or fraudulent activities. * Spamming or sending unsolicited bulk communications from your Managed Systems. iii. Use the Service to gain unauthorized access to any system, network, or data, including the Perfect Panel infrastructure itself or other users' accounts or Managed Systems. iv. Interfere with or disrupt the integrity or performance of the Service or the data contained therein. v. Attempt to probe, scan, or test the vulnerability of the Service or any related system or network. vi. Use the Service to launch denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks from your Managed Systems. vii. Circumvent or attempt to circumvent any security or access control measures of the Service or Managed Systems. viii. Use the Service in a manner that violates the terms of service or acceptable use policies of your hosting provider or any other third party related to your Managed Systems. ix. Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity. x. Collect or harvest any personally identifiable information from the Service or other users without their express consent.
b) User Responsibility: It is your sole responsibility to know and comply with any and all relevant laws, regulations, and third-party agreements (such as hosting provider terms) related to your Managed Systems and your actions while using the Service. Perfect Panel is not liable in any way for actions taken by you using the Service, including any criminal or civil liability arising from your management of your systems or the content hosted on them.
c) Violations: Violations of this Usage Policy or any other part of these Terms may result in the immediate suspension or termination of your account and access to the Service, without any refund of amounts previously paid. Additionally, you may be held responsible for any and all damages incurred by Perfect Panel, including legal fees and costs, resulting from your violation(s).
d) Software License: If the Service includes downloadable software, applications, updates, or utilities ("Software"), Perfect Panel grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for the purpose of accessing and using the Service in accordance with these Terms. You may not modify, distribute, sublicense, reverse engineer, decompile, or otherwise attempt to extract the source code of the Software, except as expressly permitted by applicable law.
a) Access to certain features or levels of the Service may require payment of fees. You agree to pay all applicable fees as described on the Perfect Panel website or within the Service interface. b) All fees are non-refundable unless otherwise expressly stated by Perfect Panel. c) You agree to provide accurate and complete payment information and authorize Perfect Panel or its third-party payment processors to charge your designated payment method for all applicable fees on a recurring basis (if subscribing) or as otherwise agreed. d) Perfect Panel reserves the right to change its prices and billing methods at any time, provided that notice is given in accordance with Section 9.
a) The Service, including all content, features, functionality, software, design, trademarks, service marks, and logos, are owned by Perfect Panel or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. b) You are granted a limited, non-exclusive, non-transferable right to access and use the Service solely for your internal business or personal purposes, subject to these Terms. c) You may not copy, modify, distribute, sell, or lease any part of the Service or its content, nor may you reverse engineer or attempt to extract the source code of the Software, unless laws prohibit these restrictions or you have our written permission.
a) Your privacy is important to us. Our collection, use, and disclosure of your information are governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read the Privacy Policy carefully. b) While Perfect Panel provides tools to manage your systems, we do not access, monitor, or log the content, traffic, or specific activities occurring within your Managed Systems, unless it is necessary for the core functionality of the panel (e.g., displaying system logs retrieved from your system within the panel interface) or required for support purposes with your explicit permission. c) We collect and log information related to your use of the Perfect Panel interface itself for purposes such as account management, security, auditing, troubleshooting, and service improvement (e.g., login times, actions taken within the panel, configuration changes made through the panel). d) We implement technical, administrative, and physical security measures to protect the Perfect Panel Service and the data we collect about your panel usage. However, you acknowledge that no system is completely secure. e) You are solely responsible for the security of your Managed Systems, including implementing appropriate security measures, backups, and access controls on those systems. Perfect Panel is not responsible for any security breaches, data loss, or damage occurring on your Managed Systems.
a) THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. b) PERFECT PANEL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS, IF ANY, WILL BE CORRECTED. c) PERFECT PANEL DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, OR THAT IT WILL BE COMPATIBLE WITH ALL MANAGED SYSTEMS OR CONFIGURATIONS. d) YOU ACKNOWLEDGE THAT YOUR ACCESS TO AND USE OF THE SERVICE AND YOUR MANAGED SYSTEMS IS AT YOUR SOLE DISCRETION AND RISK. e) PERFECT PANEL IS NOT RESPONSIBLE FOR THE PERFORMANCE, RELIABILITY, UPTIME, SECURITY, OR CONTENT OF YOUR MANAGED SYSTEMS. ANY ISSUES OR DAMAGES ARISING FROM YOUR MANAGED SYSTEMS ARE SOLELY YOUR RESPONSIBILITY. f) PERFECT PANEL IS NOT RESPONSIBLE FOR ANY DATA LOSS, CORRUPTION, OR UNAVAILABILITY OCCURRING ON YOUR MANAGED SYSTEMS, REGARDLESS OF WHETHER SUCH ISSUES ARE RELATED TO YOUR USE OF THE SERVICE. YOU ARE RESPONSIBLE FOR IMPLEMENTING APPROPRIATE BACKUP AND DISASTER RECOVERY MEASURES FOR YOUR MANAGED SYSTEMS. g) WE DO NOT MAKE ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION OR RESULTS OBTAINED THROUGH THE SERVICE (e.g., monitoring data displayed from your systems).
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERFECT PANEL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF PERFECT PANEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PERFECT PANEL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE AMOUNT YOU PAID TO PERFECT PANEL FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100.00), WHICHEVER IS LESS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Perfect Panel, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from: a) Your access to or use of the Service; b) Your violation of these Terms; c) Your violation of any rights of a third party, including intellectual property rights or privacy rights; d) Your violation of any applicable law or regulation; or e) Any content or activity on your Managed Systems, regardless of whether managed through the Service.
a) We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including if you breach these Terms. b) You may terminate your account at any time by contacting us or using any account termination features provided within the Service. c) Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Perfect Panel reserves the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
